Terms & Conditions

The terms that govern using MemuniCity, including the dispute-resolution process.

How payments & payouts work here

MemuniCity does not process or hold any money in the current setup.

  • Buyers place orders on the platform, but pay the seller directly (cash / UPI) when they collect or receive the item or service.
  • The seller marks an order as paid once they've received payment; this is a record only.
  • No payment is collected through a gateway and no payment-gateway fees apply. Sellers provide no bank details, as the platform makes no payouts.
  • Refunds, returns and any payment disputes are settled directly between the buyer and the seller.

Important โ€” how this platform currently operates

MemuniCity does not collect, hold, or process any payment in the current setup, and acts solely as a listing and discovery platform. All payments are made directly between the buyer and the seller (for example, cash or UPI) at the time of handover.

MemuniCity does not mediate, administer, or settle refunds, returns, cancellations, or disputes. These are arranged and resolved directly between the buyer and the seller, who are solely responsible for them. MemuniCity accepts no responsibility or liability for the payment, the goods or services exchanged, or any dispute arising between a buyer and a seller.

Where any clause below describes payment collection by MemuniCity, platform-administered disputes, or platform-processed refunds, this notice prevails for the platform's current configuration.

MemuniCity Terms of Use (General Users / Buyers)

1. Acceptance

By creating an account, onboarding into MemuniCity, or using any part of the platform, you agree to be bound by these Terms of Use. If you do not agree, you must not use the platform.

2. Nature of the Platform

MemuniCity is a technology platform that enables residents of participating apartment societies, streets and neighbourhoods to discover, buy, and sell products and services from one another.

MemuniCity is not:

  • the manufacturer, producer, distributor, importer, or owner of items listed by sellers;
  • the employer or agent of sellers;
  • a party to contracts formed between buyers and sellers except to the limited extent necessary to facilitate payments and platform operations; or
  • responsible for the quality, legality, safety, authenticity, delivery, suitability, or fitness of products or services offered by sellers.

Transactions are entered into directly between buyers and sellers.

3. Eligibility

Users must provide accurate information, complete any required verification, and comply with applicable laws and these Terms.

4. Buyer Responsibilities

Buyers agree to:

  • review listings carefully before purchasing;
  • verify product or service details directly with the seller where appropriate;
  • provide accurate delivery and contact information;
  • cooperate during delivery verification procedures;
  • refrain from fraudulent chargebacks or abusive dispute claims.

5. Orders and Payments

Payments may be processed through third-party payment providers. Payment confirmation does not constitute a guarantee by MemuniCity regarding the seller's performance or the quality of goods or services.

6. Delivery Confirmation

Where applicable, buyers may be required to provide a delivery verification code or other confirmation mechanism. Sharing such verification after receiving goods or services confirms that delivery has taken place.

7. Refunds and Disputes

Refund requests or disputes may be submitted through MemuniCity within the applicable dispute window.

MemuniCity may review information provided by the parties but does not guarantee any particular outcome. Decisions may consider communications, delivery confirmations, transaction records, and other available evidence.

8. Seller Responsibility

The buyer acknowledges that:

  • products and services are supplied solely by independent sellers;
  • sellers are solely responsible for product quality, descriptions, warranties, delivery, legality, taxation, safety, licensing, and compliance with applicable laws; and
  • any obligation to repair, replace, refund, compensate, or otherwise resolve complaints primarily rests with the seller.

9. Platform Disclaimer

MemuniCity acts only as an intermediary technology platform facilitating introductions, communications, listings, and payment processing.

To the fullest extent permitted by applicable law, MemuniCity disclaims responsibility for:

  • defective or unsafe products;
  • inaccurate listings;
  • counterfeit goods;
  • service quality;
  • delivery failures;
  • delays;
  • seller misconduct;
  • buyer misconduct;
  • regulatory violations by users; and
  • disputes arising between buyers and sellers.

10. Limitation of Liability

To the fullest extent permitted by law, MemuniCity, its owners, employees, affiliates, and service providers shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including loss of profits, business interruption, goodwill, reputation, or data.

MemuniCity's aggregate liability arising from any claim relating to the platform shall not exceed the amount of platform fees actually retained by MemuniCity in connection with the specific transaction giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

11. User Conduct

Users shall not:

  • post unlawful or misleading listings;
  • infringe intellectual property rights;
  • engage in fraud or scams;
  • abuse payment systems;
  • harass or threaten other users; or
  • manipulate reviews or ratings.

12. Suspension and Termination

MemuniCity may suspend or terminate accounts that violate these Terms or pose risks to the platform or its users.

13. Governing Law

These Terms shall be governed by the laws of India. Subject to applicable law, courts having jurisdiction over MemuniCity's principal place of business shall have exclusive jurisdiction over disputes involving the platform.

14. Changes

MemuniCity may modify these Terms from time to time. Continued use after publication constitutes acceptance of the updated Terms.

1. Applicability

These Seller Terms supplement the MemuniCity Terms of Use and apply to every user approved to sell products or services through the platform.

2. Independent Seller Status

Each seller acts as an independent business or individual and is solely responsible for all products and services offered through MemuniCity.

Nothing in these Terms creates an employment, agency, partnership, franchise, or joint venture relationship between MemuniCity and the seller.

3. Seller Representations

The seller represents and warrants that:

  • all listings are accurate and truthful;
  • goods and services comply with applicable law;
  • required licenses and permits are maintained;
  • products are safe and lawful;
  • intellectual property rights are respected; and
  • all tax obligations are fulfilled by the seller.

4. Sole Responsibility for Transactions

The seller accepts full responsibility for:

  • listing accuracy;
  • pricing;
  • inventory;
  • fulfillment;
  • delivery;
  • customer service;
  • warranties;
  • product defects;
  • service quality;
  • legal compliance; and
  • post-sale obligations.

5. Refund Liability

The seller expressly agrees that all refunds, reversals, chargebacks, replacements, customer compensation, and financial liabilities arising from the seller's transactions shall be borne solely by the seller.

Where payment processors reverse, recover, deduct, claw back, or otherwise reclaim funds relating to a transaction, the seller authorizes such recovery and accepts responsibility for the resulting financial adjustment.

6. Disputes

The seller acknowledges and agrees that:

  • disputes with buyers arise from the seller's own transaction;
  • MemuniCity acts only as an intermediary platform facilitating dispute administration;
  • any refund obligation belongs to the seller;
  • the seller remains financially responsible even if payment has already been settled to the seller; and
  • MemuniCity may rely on available evidence when facilitating dispute resolution.

7. Indemnity

The seller shall defend, indemnify, and hold harmless MemuniCity, its owners, directors, employees, contractors, affiliates, and service providers from and against any claims, complaints, proceedings, losses, liabilities, penalties, damages, judgments, settlements, costs, and reasonable legal expenses arising out of or relating to:

  • products sold by the seller;
  • services provided by the seller;
  • personal injury or property damage caused by the seller;
  • regulatory violations;
  • intellectual property infringement;
  • misleading advertisements;
  • defective products;
  • breach of warranty;
  • refunds or customer complaints; or
  • the seller's breach of these Terms.

8. Platform Commission and Fees

The seller authorizes MemuniCity and its payment partners to deduct applicable commissions, payment processing fees, subscription charges, taxes, and other disclosed platform fees before settlement.

To enable direct settlement of sales, the bank account details (account number, IFSC, account holder name) and PAN that the seller provides during KYC are used to onboard the seller as a vendor with MemuniCity's payment gateway partner under its direct-split ("Easy Split") facility. Each eligible sale is then settled directly to the seller's registered bank account, net of applicable commissions, fees, and taxes. By registering as a seller, the seller consents to MemuniCity sharing these details with the payment gateway partner for this purpose.

9. Right to Suspend

MemuniCity may suspend listings, freeze seller privileges, reject KYC applications, or terminate seller access where fraud, abuse, repeated complaints, legal violations, or platform risk is reasonably suspected.

10. No Platform Warranty

MemuniCity makes no guarantee regarding sales volume, buyer traffic, profitability, uptime, uninterrupted service, or revenue generation.

11. Limitation of Platform Liability

To the fullest extent permitted by applicable law, MemuniCity shall not be liable for:

  • downtime, unavailability, slowdowns, or interruptions of the platform, whether due to scheduled maintenance or unscheduled/unexpected outages;
  • bugs, errors, or defects in the platform's software, including in any reports, analytics, dashboards, or order/sales summaries it generates;
  • customer claims relating to seller products or services;
  • refunds owed by sellers;
  • warranty claims;
  • recalls;
  • injuries caused by products;
  • food safety issues;
  • licensing violations;
  • tax liabilities;
  • contractual disputes between buyers and sellers; or
  • losses arising from seller conduct.

The seller agrees that MemuniCity's role is limited to providing marketplace infrastructure and related platform services, and acknowledges that any loss to the seller's business โ€” including lost sales, lost data, or lost profits โ€” arising from platform downtime or maintenance (whether planned or unplanned) or from bugs, errors, or defects in the platform's software or in any reports it generates, is covered by this limitation of liability.

12. Survival

The seller's obligations concerning refunds, indemnification, taxes, regulatory compliance, confidentiality, and dispute-related liabilities survive account suspension or termination.

13. Governing Law

These Seller Terms shall be governed by the laws of India, subject to the jurisdiction of the competent courts over MemuniCity's principal place of business.
